iStarfit Terms & Conditions

Last Updated: May 11, 2026
Version: 2026.05.11-V2.0

This document governs access to and use of iStarfit’s websites, mobile applications, device firmware/software, and related online contact channels (collectively, the “Services”). It is intended for B2B users. By accessing or using the Services, you acknowledge that you have read and understood these Terms & Conditions (“Terms”) and the Privacy Policy, and agree to be bound by both. If you do not agree, please discontinue use.

1) Scope & Acceptance

1.1 These Terms apply to browsing, submitting inquiries/RFQs, pairing and syncing devices, downloading resources, and other interactions conducted through the Services.
1.2 Supplemental terms presented with specific features (e.g., gated downloads, beta functions) form part of these Terms.
1.3 We may update these Terms periodically. The updated version will display a new Last Updated date and take effect upon posting.

2) B2B Nature & No Consumer Sales

2.1 The Services support business-to-business communications (RFQs, technical discussions, capability overviews).
2.2 We do not operate consumer e-commerce or consumer return processes via the Services.

3) Relationship to Commercial Contracts

3.1 Any quotation, pro forma invoice, purchase order, NDA, framework/supply agreement, statement of work, or other executed contract between you and us (each a “Commercial Contract”) governs the sale or provision of goods/services.
3.2 In case of conflict, the Commercial Contract prevails.
3.3 Information within the Services (specifications, images, MOQs, prices, lead times, logistics examples) is illustrative and non-binding unless expressly confirmed in a Commercial Contract.

4) Eligibility, Accounts & Security

4.1 You represent that you act on behalf of a business and have authority to bind that business.
4.2 If an account or gated area is offered, you are responsible for safeguarding credentials and all activities under your account.
4.3 We may suspend or disable access for misuse, security, compliance, or operational reasons.

5) Intellectual Property

5.1 The Services, including texts, images, videos, graphics, layouts, software, and data (the “Content”) and any trademarks/service marks/logos (the “Marks”), are owned or licensed and protected by applicable IP laws.
5.2 We grant you a limited, revocable, non-exclusive, non-transferable right to access the Services and, where allowed, download/print portions of the Content for internal B2B evaluation only.
5.3 Except as permitted by these Terms or by prior written consent, you must not copy, modify, distribute, frame, mirror, publicly display, reverse engineer, or create derivative works from the Services, Content, or Marks.
5.4 Project-specific brand assets, drawings, packaging, firmware, tooling, or documentation are handled strictly per the applicable Commercial Contract.

6) Accuracy, Availability & Changes

6.1 We aim to present capabilities and materials accurately; however, displays may vary and information may change without notice.
6.2 Products, components, and configurations are subject to availability and reasonable engineering adjustments that maintain agreed form-fit-function.
6.3 We may modify, suspend, or discontinue any part of the Services at any time.

7) Acceptable Use (Prohibited Activities)

You agree not to: (a) harvest or compile data without written permission; (b) send unsolicited communications or misuse support channels; (c) circumvent or interfere with security/access controls; (d) frame, deep-link, scrape, crawl, or conduct automated access without authorization; (e) upload malware or content that disrupts operation; (f) reverse engineer or bypass technical measures; (g) remove proprietary notices; (h) impersonate others or misrepresent affiliation; (i) use the Services in violation of applicable laws or these Terms.

8) Third-Party Links & Services

8.1 The Services may link to or embed third-party resources (analytics, media, maps, messaging). Such resources are governed by their own terms and policies.
8.2 We do not control, endorse, or assume responsibility for third-party content, availability, or practices. Your interaction with third parties is at your own risk.

9) Confidentiality & Materials You Provide

9.1 Non-public technical, commercial, pricing, or operational information exchanged via the Services is “Confidential Information.” Each party must protect the other’s Confidential Information with reasonable care and use it only for evaluating or performing a potential or actual Commercial Contract.
9.2 You warrant that materials you provide (e.g., logos, designs, documents) do not infringe third-party rights, and you grant necessary licenses to use them for evaluation and project purposes.
9.3 Exceptions include information that is public without breach, independently developed, rightfully obtained without confidentiality duty, or required to be disclosed by law/authority (with prompt notice where lawful).

10) Compliance: Export, Sanctions & Anti-Bribery

10.1 You must comply with applicable export control and sanctions rules and avoid prohibited end-uses and restricted parties.
10.2 You must comply with anti-bribery and anti-corruption laws and must not offer, solicit, or accept improper benefits.

11) Disclaimers; Limitation of Liability

11.1 Service Disclaimers. The Services and Content are provided on an “AS IS” and “AS AVAILABLE” basis, without warranties of any kind, express or implied (including merchantability, fitness for a particular purpose, title, accuracy, or non-infringement).
11.2 Product Warranties. Any product/service warranties are defined exclusively in the relevant Commercial Contract.
11.3 Limitation. To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, punitive, or loss of profits/revenue/data/goodwill arising out of or related to the Services. Our aggregate liability relating to the Services shall not exceed US$100 or the amount you paid (if any) for Service-specific features in the three (3) months preceding the claim—whichever is greater. Nothing limits liability that cannot legally be limited.

12) Governing Law & Dispute Resolution

12.1 Unless a Commercial Contract specifies otherwise, these Terms are governed by the laws applicable to the operator of the Services (without regard to conflict-of-laws principles).
12.2 Parties will first attempt to resolve disputes amicably. Failing that, disputes shall be submitted to a court of competent jurisdiction at the defendant’s domicile, or as otherwise required by applicable law.

13) Suspension, Termination & Survival

13.1 We may suspend or terminate access for breach, security concerns, or legal/compliance reasons.
13.2 Sections that by nature should survive (e.g., IP, confidentiality, disclaimers, limitations, indemnity, governing law) survive termination.

14) Changes to These Terms

14.1 We may revise these Terms to reflect operational, legal, or regulatory changes. Material updates may be highlighted via banner or pop-up.
14.2 We will not reduce rights granted by law without the required consent.

15) Contact

For questions regarding these Terms, please use the Contact Us form on our website: https://istarfit.com/contact/. Please do not include sensitive personal information in initial messages.
